Reporting to the Vice President of Legal Affairs, Corporate Affairs and Investments, the Legal Counsel – Corporate Services and Governance plays a key role in managing governance and corporate secretarial matters. Supporting various internal teams within the organization, the Legal Counsel coordinates activities related to the Board of Directors and its committees, ensures corporate and regulatory compliance, and participates in corporate transactions.
What you will do

• Assist the VP of Legal Affairs in planning and preparing meetings of the Board of Directors and its committees.
• Oversee operations related to the incorporation, merger, dissolution, and updating of companies in Quebec, and supervise law firms handling such operations outside Quebec.
• Follow up on requests from the Board and its committees, ensuring responses in collaboration with the EVP, Chief Legal Officer, and VP of Legal Affairs.
• Data management using internal technological tools and databases and coordinate the archiving and updating of relevant documents.
• Draft and execute the various steps required annually for internal shareholding ownership programs.
• Maintain up-to-date corporate organizational charts and documentation.
• Supervise the activities of the Corporate Services team, ensuring their professional development and the quality of their work.



This role could be for you if you have

• Bachelor’s degree in Law and member of the Quebec Bar.
• 5 to 8 years of experience in governance and/or corporate services, including team management.
• Excellent knowledge of the legal framework and regulatory requirements.
• Ability to work independently and manage multiple files simultaneously.
• Strong organizational and time management skills.
• Demonstrated leadership, rigor, diplomacy, and strategic thinking.
• Excellent communication skills (both oral and written), interpersonal abilities, and active listening skills.

• Proficiency in Microsoft Office tools and legal databases.
